Terms of Service

The rules and responsibilities that govern your use of SplitLayer.

These Terms of Service ("Terms") form a binding agreement between you ("Merchant", "you", or "your") and SplitLayer ("we", "us", or "our") governing your access to and use of the SplitLayer Shopify application and related services (collectively, the "Service"). Please read them carefully.

1. Acceptance of Terms

By installing SplitLayer from the Shopify App Store, clicking "Accept", or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not install or use the Service.

If you are using SplitLayer on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

SplitLayer is a Shopify application that enables merchants to define revenue-sharing policies and automatically split order revenue among creators, agencies, and other partners ("Actors"). The Service includes:

  • A policy engine for defining percentage-based or fixed-amount revenue splits
  • Automated webhook processing to calculate and record ledger entries per order
  • Payout management tools for disbursing allocated amounts to partners (on paid plans)
  • Reporting and analytics dashboards
  • A merchant admin interface

3. Shopify Requirement

The Service requires a valid, active Shopify store. Your access to SplitLayer is contingent on maintaining a Shopify account in good standing. SplitLayer is subject to Shopify's API Terms of Service and Acceptable Use Policy. You must comply with those terms when using SplitLayer.

4. Account and Access

Your SplitLayer account is linked to your Shopify store. You are responsible for:

  • Maintaining the security of your Shopify admin credentials
  • All activity that occurs through your store's connection to SplitLayer
  • Ensuring all users with access to your Shopify admin understand these Terms

Notify us immediately at hello@splitlayer.app if you suspect unauthorised access to your account.

5. Subscription and Billing

5.1 Plans

SplitLayer is offered on the following subscription tiers:

  • Free — up to 3 partners, 1 policy, 50 orders/month. No charge.
  • Growth — up to 25 partners, 10 policies, 2,000 orders/month. Billed monthly via Shopify.
  • Scale — unlimited partners, unlimited policies, 20,000 orders/month. Billed monthly via Shopify.

Current pricing is displayed on the Pricing page and within the Shopify App Store listing. We reserve the right to change pricing with at least 30 days' notice.

5.2 Billing via Shopify

All subscription charges are processed by Shopify through its Billing API and appear on your Shopify invoice. SplitLayer does not store or process payment card details. By selecting a paid plan, you authorise Shopify to charge your payment method on the applicable billing cycle.

5.3 Free Trial

We may offer a free trial period for paid plans at our discretion. At the end of any trial, the subscription will automatically transition to the paid plan unless you cancel or downgrade beforehand.

5.4 Cancellation and Downgrade

You may cancel or downgrade your plan at any time through the SplitLayer merchant admin or through Shopify. Charges for the current billing period are non-refundable unless required by applicable law. Upon downgrade, access to features above your new plan's limits will be restricted.

5.5 Plan Limits

If you exceed your plan's monthly order limit, incoming orders will still be processed until the end of the billing month, but you will be prompted to upgrade. We will not charge overage fees without your explicit consent.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Use the Service to process fraudulent orders or in connection with any money-laundering scheme
  • Attempt to reverse-engineer, decompile, or disassemble any part of SplitLayer
  • Access or attempt to access data belonging to other merchants
  • Introduce malware, viruses, or other harmful code via webhooks or API interactions
  • Use the Service in a way that violates Shopify's API terms or acceptable use policies
  • Resell or sub-license the Service without our prior written consent

We reserve the right to suspend access immediately if we detect violations of this section.

7. Your Data

You retain full ownership of all data you bring to or generate through SplitLayer, including order data, partner configurations, and policies. By using the Service you grant us a limited, non-exclusive, royalty-free licence to store, process, and transmit that data solely for the purpose of providing the Service.

We handle your data in accordance with our Privacy Policy, which forms part of these Terms.

8. Intellectual Property

All intellectual property in the SplitLayer application, including but not limited to software, algorithms, UI/UX design, branding, and documentation, is owned by SplitLayer or its licensors. Nothing in these Terms grants you any right in that intellectual property other than the limited right to use the Service as described here.

Feedback, suggestions, or ideas you submit about the Service may be used by us without obligation or compensation to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, uninterrupted, or that any specific payout will be processed successfully. Revenue splits are calculated based on the policies you define — you are responsible for verifying that your policies are correct.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPLITLAYER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO SPLITLAYER IN THE THREE MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED GBP (£100).

11. Indemnification

You agree to indemnify and hold SplitLayer and its officers, directors, employees, and agents harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising from:

  • Your use of the Service in breach of these Terms
  • Your policies, partner configurations, or payout instructions
  • Any dispute between you and a partner arising from a revenue split
  • Your violation of any third-party right, including Shopify's terms

12. Termination

Either party may terminate the Service relationship at any time. You terminate by uninstalling SplitLayer from your Shopify store. We may terminate or suspend your access immediately, without prior notice, if we determine that you have violated these Terms or that continued access poses a risk to the Service or other users.

Upon termination, your access to the Service ceases immediately. Data deletion is handled as described in the Privacy Policy.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms shall first be attempted to be resolved informally by contacting us at hello@splitlayer.app. If informal resolution fails, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify you via the email address associated with your Shopify store at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and SplitLayer regarding the Service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver. Failure to enforce any provision of these Terms shall not be construed as a waiver of our right to enforce it in the future.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
